TERMS AND CONDITIONS(AGREEMENT) This application andAgreement is submitted by applicant to Starlite Productions (Starlite), a NewJersey corporation to obtain trade credit. Starlite reserves the right todecline credit to any applicant. In the event credit is extended to applicant,Starlite reserves the right at any time thereafter to change or revoke suchcredit for any reason, including but not limited to credit policy changes byStarlite, applicant's financial condition, applicant's payment record, or anyother reason. All sales and rentals are subject to Starlite's standard Termsand Conditions as published and no alteration or waiver of those terms shall beeffective unless in writing signed by a duly authorized officer of StarliteProductions. Customer agrees to make payment in full to Starlite for allamounts due according to Starlite's invoice(s). Customer also agrees to payStarlite, as interest, an amount equal to the greater of 1.5% per month, or themaximum provided by law, for all amounts past due. Should customer default in anysuch payment(s), Starlite shall have the right, without notice to customer, todeclare all invoice amounts immediately due and payable. In the event Starliteshall commence any actions, or otherwise seek to enforce this Agreement,customer agrees to pay reasonable attorney fees, court costs or other expensesincurred by Starlite, regardless of whether a suit is filed or not. ThisAgreement is strictly confidential and is not transferable or assignablewithout the prior written consent of Starlite. Starlite hereby reserves apurchase money security interest in all products until the purchase price,including all freight, taxes and fees have been paid in full. Applicant herebyappoints Starlite as applicant's attorney-in-fact to execute and file any financingstatements to perfect such security interest granted herein. This applicationand Agreement shall be construed, interpreted and enforced under and inaccordance with the internal laws of the State of New Jersey, excluding itsconflicts or choice of law or principals.
